TERMS OF USE

1. ACCEPTANCE OF TERMS

These terms and conditions ("Terms") govern the use of the BioVoyage Institute, Inc, BioScience Education, BioScience International K8 School(s), BioScience International High School(s), BioScience International University, and its associates, hereafter known as ‘The BioScience Institutes’ and websites (Hereinafter referred to as the "Website") and all related services provided by The BioScience Institutes known as (the "Service") and constitute an agreement between you ("You") and The BioScience Institutes. Your use of the Website, and any new services or functionalities that may be made available by The BioScience Institutes from time to time, is conditioned upon Your acceptance of and continued adherence to these Terms. The BioScience Institutes reserves the right to alter or revise these Terms at any time, with the most recent version of the Terms being posted on the Website. It is Your responsibility to check for updates to the Terms. Your continued use of the Website indicates Your acceptance of any and all revised Terms. The BioScience Institutes reserves the right to suspend or terminate Your account at any time or discontinue Your access to the Website or the Service or remove your Work for any reason.

2. RESTRICTIONS AND PROHIBITIONS ON USE

In Your use of the Website and Service You must abide by the following restrictions and prohibitions on use. As a Website user, You may Not:

• Create Work that include any Content or links that is pornographic, defamatory, libelous, tortuous, vulgar, obscene, invasive of privacy, racially or ethnically objectionable, hateful, promotes or provides instructional information about illegal activities, or promotes any act of cruelty to animals.
• Use The BioScience Institutes, the Website or Service to violate any Federal, state or local laws. Your Work must comply with all local laws regarding online conduct and acceptable content.
• Hack the Website or modify any Work that are not Your own.
• Link to any worms or viruses or any code of a destructive nature.
• Link to pages or sites that are unrelated to the topic and content of Your Work.
• Remove, decompile, disassemble or reverse engineer any The BioScience Institutes Software (as defined below) or use any network monitoring or discovery software to determine the Website architecture.
• Create Work in breach of a confidentiality or fiduciary obligation You may have.
• Attempt to automatically redirect Website users to other domains, mislead users of the origins of the Content contained in Your Work, or use Your Work as storage for remote loading or to a website outside of the Website.
• Impersonate another Author or any representative or employee of The BioScience Institutes.
• Disrupt The BioScience Institutes Service, or any servers by embedding code in the Work or otherwise attacking the Service.
• Create Work for any illegal activities or to promote or make solicitations for any illegal or unauthorized activity.
• Spam any Authors or mass Email any Author in an automated fashion.
• Collect personal identifiable information about the users of Your Work and sell or transfer that information.
• Use any automatic or manual process to harvest Email addresses or other information from the Website.
• Harass, threaten or intimidate Authors or others who use the Service.
• Promotes gambling or links to sites that promote/offer gambling for money.
• Contains misleading tags and/or titles the don't match the Work content, including irrelevant/excessive tagging.
• Is overly promotional, including excessive linking to any one site or domain.
• Engage in behavior designed to manipulate The BioScience Institutes.

3. DISCONTINUATION OR MODIFICATION OF THE SERVICE

The BioScience Institutes reserves the right to modify or discontinue, temporarily or permanently, the Service or any portion thereof, without liability to You or any third party. In addition, The BioScience Institutes, in its sole discretion, may terminate Your password, account or use of or access to the Service (including Impression services), and remove and delete any Work or Content, for any reason.

4. PROPRIETARY RIGHTS CONTENT OWNERSHIP

The Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by The BioScience Institutes or advertisers, You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. In addition, the content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Website and Service are protected under applicable copyrights, trademarks and other proprietary (including, but not limited to, intellectual property) rights. The copying, redistribution, use or publication by You of any such matters or any part of the Website, except as expressly allowed herein, is strictly prohibited. The BioScience Institutes may at any point make additional software and tools available to Authors in connection with the Service. Authors who incorporate such Additional Software into their Work may have to agree to additional terms and conditions before using such software, and all rules and obligations outlined in these Terms apply to the ownership and use of such Additional Software.

The Author, and not The BioScience Institutes, will be fully responsible for all Content that is uploaded, posted, transmitted or otherwise made available by the Author on their Work. The BioScience Institutes cannot guarantee the accuracy, integrity or quality of such Content. The BioScience Institutes does not pre-screen Content, but will have the right (but not the obligation) in its sole discretion to refuse or remove any Content in your Work for any reason, including Content that may violate these Terms, or that is otherwise objectionable. The BioScience Institutes also cannot take responsibility for anything that Your Work users may do in reliance on the Content You post in Your Work.

4.1 Ownership

Assignor does hereby sell, assign, and transfer to The BioScience Institutes, its successors and assigns, any and all entire rights, title and interests in and to all works, copyrights and intellectual properties in the books, manuscripts and all works; any registrations and copyright applications relating thereto and any renewals and extensions thereof, and in and to all works based upon, derived from, or incorporating the work, and in all income, royalties, damages, claims and payments now or hereafter due or payable with respect thereto, and in and to all causes of action, either in law or in equity for past, present, or future infringement based on the copyrights, and in and to all rights corresponding to the foregoing throughout the world. The Assignor states that s\he does not own or represent to own any interest, ownership, copyrights, intellectual property rights in the images or any related products or interests hereto, even though Assignor may be contributing to such books or manuscripts during the course of its relationship in providing services to The BioScience Institutes.

FOR VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, Assignor and The BioScience Institutes agree as follows: Assignor will indemnify and hold harmless The BioScience Institutes from any and all claims, actions, and judgments, including all costs of defense and attorney's fees incurred in defending against same, arising from and related to Assignor's use of the images. In the event any claim or suit is brought against The BioScience Institutes within the scope of this Agreement, Assignor shall pay for legal counsel chosen by The BioScience Institutes to defend against same. This Agreement shall encompass claims resulting from (i) any and all use of the images, (ii) any and all injuries sustained because of the images.

5. LIMITATION OF LIABILITY

You expressly understand and agree that The BioScience Institutes will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if advised of the possibility of such damages), resulting from the use or the inability to use the Service or Website, unauthorized access to or alteration of Your Work, Content transmissions or data, statements or conduct of any third party on the Service, or any other matter relating to the Service. The BioScience Institutes also will not be liable for any loss or damage arising from Your failure to comply with the provisions of these Terms and others.

6. GOVERNING LAW

These Terms will be governed by the laws of the State of Florida without regard to its conflict of law provisions.

7. ENTIRE AGREEMENT

These Terms, together with The BioScience Institutes Privacy Policy, Copyright, Indemnification, and any other agreements incorporated by reference in these Terms or entered into between You and The BioScience Institutes in connection with Your registration as a Author, constitute the entire agreement between You and The BioScience Institutes and govern Your use of the Service, superseding any prior agreements between You and The BioScience Institutes. You also may be subject to additional terms and conditions that may apply when You use affiliate services.

8. WAIVER

The failure of The BioScience Institutes to exercise or enforce any right or provision of any Terms will not constitute a waiver of such right or provision.

9. DISPUTE RESOLUTION

If a dispute arises during your use of the Service or Website or under these Terms, You agree to abide by The BioScience Institutes dispute resolution principles by proceeding in this order of dispute resolution, only proceeding to the next step if the previous step has not resolved the issue satisfactorily.

Send The BioScience Institutes a letter by registered mail, outlining in detail the problem, steps taken and matters remaining to be resolved to: P.O. Box 162422 Altamonte Springs, FL 32716

If, after one month, the matter has not been resolved, You agree to submit to binding arbitration, to be conducted by a member of the American Arbitration Association, in Largo, at Your expense. If You win, The BioScience Institutes will pay the arbitration expenses and Your reasonable attorney's fees. If The BioScience Institutes wins, You agree to do the same for The BioScience Institutes.

By accepting these terms, You waive Your right to go to court, to have a jury trial or to participate in a class action lawsuit. You also agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms must brought under this dispute resolution policy within one (1) year after such claim or cause of action arose or be forever barred.
